Responsibilities

Legal Counsel Investment Banking is together with the company’s compliance function responsible to ensure that the Company’s Investment Banking activities are conducted in accordance with relevant the rules and guidance for the Company’s activities, including:

  • The Norwegian Securities Trading Act and Regulation, other relevant Norwegian laws and regulations, applicable EU rules, etc
  • Circulars and practice from the Norwegian FSA (Finanstilsynet) and other authorities
  • Rules from Oslo Børs and other regulated markets
  • Recommendations from the Norwegian Securities Dealers Accociation (VPFF)
  • The company’s Compliance Manual and other policies, procedures and instructions

Job description

Transaction and deal support

  • Ensure that capital markets transactions and M&A assignments are conducted according to applicable laws, market practice and internal policies
  • Review mandate agreements
  • Support on questions around transaction type and structure
  • Review deal material such as term sheet, investor presentations, deal communication, prospectus, disclaimers, etc
  • Questions around inside information, market sounding and insider lists
  • Questions around deal related research and disclaimers
  • Support on due diligence of issuers, including follow up of external advisors
  • Support around internal deal documentation
  • Maintain and develop internal check lists and policies etc
  • Support on US capital markets transactions in cooperation with US compliance and legal advisors
  • General advice to investment bankers on SPA’s, shareholder agreements, etc

Competence and qualifications

  • Norwegian law degree, with strong academic record
  • Relevant experience from capital markets transactions and financial advisory role, preferably from investment bank, bank or law firm

Personal skills

  • Strong communication and cooperation skills
  • Proactive, responsible, must have a sense of urgency
  • Commercial and solution oriented
  • Ability to work independently and with high pressure
  • Strong Norwegian and English oral and written proficiency
